When External Interest Arrives

Most community banks will receive outside interest at some point.

Rarely does it begin with an offer.

More often, it begins with an unsolicited phone call.

Sometimes it begins with an unsolicited phone call. A trusted intermediary asks whether the CEO would be willing to have a confidential conversation. There is no offer, no discussion of price, just an expression of interest. I was with one institution where the CEO opened executive session with a simple statement. I received an unsolicited phone call this week. Nobody interrupted. The room immediately understood why he was bringing it forward. One director asked, Is it serious? Another asked, are they calling others? And a third asked, do we respond? The questions were measured. No one suggested pursuing anything. No one suggested dismissing it. The board agreed that the CEO should learn a little more before anyone reached conclusions. Then the meeting moved on. Nothing about the institution had changed. Capital remained strong, earnings were steady, the strategic plan was intact. But something new was now sitting quietly in the room. Over the next several board meetings, I noticed the conversation began to sound slightly different. During a discussion about a significant capital investment, one director asked, Does this limit our flexibility? No one had asked that question before. A few months later, while discussing leadership development, someone wondered aloud whether long-term retention should be viewed differently. The strategy hadn't changed, the people hadn't changed, the bank hadn't changed, but the questions had. Several months later, the CEO reflected on that first executive session. He said Before that phone call, independence was our operating assumption. After it, independence became a choice. That observation stayed with me, not because it pointed toward a transaction, because it captured what new information can quietly do inside a boardroom. Sometimes the institution remains exactly where it was. Only the conversation changes. I remember another executive session where a director asked, Are we obligated to consider it? No one answered immediately. The chair finally said, I think we're obligated to understand it. The distinction mattered. One question assumed a direction, the other preserved one. Strong institutions are often approached precisely because they are strong. The phone call doesn't create the institution's value, it simply reminds everyone that others can see it too. What matters is what happens next, not whether a conversation occurs, but whether the board remains anchored in the principles that shape the institution long before the phone ever rang.
