Hi everyone, I am your host, Joshua Johani. And I'm your co-host, Ricardo Berlande. Welcome to the Technical Founder: Advanced Concepts in MA and Investment Banking. This podcast was inspired by our clients. They are founders, engineers, scientists, and operators who have built exceptional businesses. They are some of the most accomplished people in the world. But the learning curve of MA can be steep, especially if a person is experiencing it for the first or second time live. It's like walking into a plane and being asked to fly it without any training. It's like being handed a scalpel and saying, hey, you need to remove this tumor. Or it's like walking into a courtroom with a set of notes and being told, Good luck with the judge.

M ⁇ A outcomes are not random, they follow a predictable, repeatable structure. The difference between a strong result and a disappointing one is how decisions are sequenced, how incentives are aligned, and how judgment is applied in real time. In complex environments, small decisions compound. Ideas implemented well in advance of a transaction are equally as important as the process itself in determining the final outcome.

By listening to this podcast, you should walk away with three things. First, the knowledge to navigate transactions more effectively. Second, the judgment to hire and manage the right advisors for the process. And third, practical insights you can apply inside your organization today to drive performance and create corporate value. When applied correctly, these ideas are worth millions of dollars, in some cases tens of millions, and in rare situations still hundreds of millions or billions of dollars.

This podcast is built for technical founders, people who think in systems, models, and first principles. We focus on advanced concepts, what decisions impact value, how they impact value, and how they do not. M ⁇ A is simply the context. The underlying logic applies broadly to capital allocation, strategy, operations, and organizational decision making. With the right frameworks, complexity becomes something you can analyze, structure, and manage.
