- A NED is a board member who does not partake in daily operations. Their role is governance, oversight, and strategic counsel. They bring independent judgment to board discussions.
- “Independent” means they are free from conflicts of interest—so their perspective is not tied to management or shareholders in a way that would limit their impartiality.
